1. Introduction and Acceptance of Terms

Welcome to Speechly. These Terms and Conditions ("Terms", "T&C", or "Agreement") govern your access to and use of the Speechly software application ("Speechly", "App", "Software", "Service") and the website https://speechly.io ("Website").

By downloading, installing, accessing, or using Speechly, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

Important: These Terms constitute a legally binding agreement between you ("User", "you", or "your") and Speechly ("we", "us", or "our").

2. Eligibility

2.1 Age Requirement

You must be at least 16 years of age to use Speechly. By using the Service, you represent and warrant that you meet this age requirement.

2.2 Legal Capacity

You must have the legal capacity to enter into a binding contract. If you are using Speechly on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2.3 Geographic Restrictions

Speechly is available worldwide, subject to local laws and regulations. You are responsible for ensuring that your use of the Service complies with all applicable laws in your jurisdiction.

3. Description of Service

3.1 What Speechly Offers

Speechly is a macOS speech-to-text software application that enables users to:

  • Convert spoken words into written text

  • Write emails and documents using voice input

  • Create content efficiently through voice dictation

  • Boost productivity with hands-free text generation

3.2 Service Availability

We strive to provide uninterrupted access to Speechly, but we do not guarantee that the Service will be available at all times. The Service may be subject to:

  • Scheduled maintenance

  • Unscheduled downtime

  • Technical issues

  • Updates and improvements

3.3 Modifications to Service

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We are not liable for any modification, suspension, or discontinuation of the Service.

3.4 Beta and Experimental Features

We may offer beta or experimental features. These features are provided "as is" and may contain bugs or errors. We may discontinue beta features at any time.

4. User Accounts

4.1 Account Creation

To use certain features of Speechly, you may be required to create an account. When creating an account, you must provide:

  • Accurate information

  • Complete information

  • Current information

4.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials

  • All activities that occur under your account

  • Notifying us immediately of any unauthorized use

We are not liable for any loss or damage arising from your failure to protect your account information.

4.3 One Account Per User

Each user is permitted only one account. Creating multiple accounts may result in termination of all accounts.

4.4 Account Termination by User

You may terminate your account at any time by contacting us at paul@speechly.io.

5. License Grant

5.1 Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to:

  • Download and install the Speechly software on your macOS device(s)

  • Use the Software for your personal or internal business purposes

5.2 License Restrictions

You agree NOT to:

  • Modify, adapt, translate, or create derivative works of the Software

  • Reverse engineer, decompile, disassemble, or attempt to discover the source code

  • Remove, alter, or obscure any proprietary notices (copyright, trademark, etc.)

  • Rent, lease, lend, sell, sublicense, or distribute the Software

  • Use the Software for any illegal or unauthorized purpose

  • Use the Software to develop a competing product or service

  • Use automated systems (bots, scrapers) to access the Service

  • Attempt to gain unauthorized access to any part of the Service

5.3 Ownership

Speechly and all intellectual property rights therein remain the exclusive property of Speechly. These Terms do not transfer any ownership rights to you.

5.4 License Termination

This license automatically terminates if you violate these Terms. Upon termination, you must immediately cease using the Software and delete all copies.

6. Acceptable Use Policy

6.1 Prohibited Uses

You agree not to use Speechly to:

  • Violate any applicable laws, regulations, or third-party rights

  • Transmit any harmful, threatening, abusive, defamatory, or obscene content

  • Engage in any form of harassment, hate speech, or discrimination

  • Infringe upon intellectual property rights of others

  • Distribute malware, viruses, or any harmful code

  • Engage in fraudulent activities or impersonation

  • Interfere with or disrupt the Service or servers

  • Collect personal information of other users without consent

  • Use the Service for commercial spamming

  • Generate content that violates our content policies

6.2 Monitoring and Enforcement

We reserve the right to:

  • Monitor use of the Service to ensure compliance

  • Investigate violations of these Terms

  • Take appropriate action, including account suspension or termination

  • Report illegal activities to law enforcement

6.3 Consequences of Violation

Violation of the Acceptable Use Policy may result in:

  • Warning or notice

  • Temporary or permanent account suspension

  • Termination of access to the Service

  • Legal action

7. Intellectual Property Rights

7.1 Speechly's Intellectual Property

All content, features, and functionality of Speechly, including but not limited to:

  • Software code and architecture

  • Text, graphics, logos, images

  • User interface and design

  • Trademarks and service marks

  • Algorithms and processes

...are owned by Speechly and protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

7.2 User Content

You retain ownership of any content you create using Speechly ("User Content"). By using the Service, you grant us a limited license to:

  • Process your voice input to provide the speech-to-text functionality

  • Store minimal usage data for service improvement (as detailed in our Privacy Policy)

Important: We do not claim ownership of your User Content. Your dictated text belongs to you.

7.3 Voice Data

We do not record, store, or transmit the audio of your voice input. All speech processing occurs locally on your device. We do not have access to the content you dictate.

7.4 Feedback

If you provide us with feedback, suggestions, or ideas about Speechly ("Feedback"), you grant us an unlimited, irrevocable, perpetual, royalty-free license to use, modify, and incorporate such Feedback into our products and services without any obligation to you.

8. Pricing and Payment Terms

8.1 Current Pricing

Speechly may be offered as:

  • A free service

  • A paid subscription service

  • A freemium model (free basic features with paid premium features)

8.2 Payment Processing

All payments are processed securely through Stripe, our third-party payment processor. By making a purchase, you agree to Stripe's terms of service and privacy policy.

8.3 Payment Authorization

By providing payment information, you:

  • Authorize us to charge the applicable fees

  • Represent that you are authorized to use the payment method

  • Agree to pay all charges incurred

8.4 Subscription Terms

If you purchase a subscription:

  • Subscriptions automatically renew unless cancelled

  • You will be charged at the beginning of each billing cycle

  • Renewal charges are based on your current subscription plan

  • You can cancel at any time through your account settings

8.5 Price Changes

We reserve the right to change our pricing at any time. Price changes will:

  • Be communicated to you via email or in-app notification

  • Take effect at the start of your next billing cycle

  • Not apply retroactively to existing subscriptions

If you do not agree to a price increase, you may cancel your subscription.

8.6 Taxes

Prices do not include applicable taxes unless stated otherwise. You are responsible for all sales, use, value-added (VAT), and other taxes.

8.7 No Refunds

ALL SALES ARE FINAL. WE DO NOT OFFER REFUNDS OR CREDITS FOR ANY PURCHASES, INCLUDING BUT NOT LIMITED TO:

  • Subscription fees (monthly or annual)

  • Unused portions of subscription periods

  • Downgraded subscriptions

  • Account terminations (voluntary or involuntary)

By making a purchase, you acknowledge and agree to this no-refund policy.

Exception: Refunds may be provided at our sole discretion in cases of:

  • Duplicate charges due to processing errors

  • Unauthorized charges (subject to verification)

  • Service unavailability for extended periods (at our discretion)

8.8 Payment Disputes

If you dispute a charge, you must contact us at paul@speechly.io within 30 days of the charge. Chargebacks or payment disputes filed directly with your payment provider without prior contact may result in immediate account termination.

8.9 Failed Payments

If a payment fails:

  • We will attempt to process the payment again

  • You may receive a notification to update your payment information

  • Continued payment failure may result in suspension or termination of your subscription

9. Free Trial and Promotional Offers

9.1 Free Trials

We may offer free trial periods for certain paid features. Free trials:

  • Are available only to new users (one per user)

  • May require payment information

  • Automatically convert to paid subscriptions unless cancelled

  • Are subject to these Terms

9.2 Cancellation of Free Trial

You may cancel a free trial at any time before it ends to avoid being charged. Cancellation instructions are available in your account settings.

9.3 Promotional Offers

We may offer promotional discounts or special pricing. Promotional offers:

  • May have specific terms and conditions

  • May be limited in duration or availability

  • May not be combined with other offers

  • Are subject to our sole discretion

10. Termination

10.1 Termination by You

You may terminate your account at any time by:

  • Contacting us at paul@speechly.io

  • Using the account deletion feature (if available)

  • Uninstalling the Software

Termination does not entitle you to any refund.

10.2 Termination by Us

We may terminate or suspend your account immediately, without prior notice, if:

  • You breach these Terms

  • You violate the Acceptable Use Policy

  • We suspect fraudulent, abusive, or illegal activity

  • Required by law or legal authority

  • We discontinue the Service

10.3 Effect of Termination

Upon termination:

  • Your right to use the Service immediately ceases

  • You must delete all copies of the Software

  • We may delete your account data (subject to legal retention requirements)

  • All provisions that should survive termination will remain in effect

11. Disclaimers and Warranties

11.1 "AS IS" Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

We disclaim all warranties, including but not limited to:

  • Merchantability

  • Fitness for a particular purpose

  • Non-infringement

  • Accuracy, reliability, or completeness

  • Uninterrupted or error-free operation

  • Security or freedom from viruses

11.2 No Guarantee of Results

We do not guarantee that:

  • Speechly will meet your specific requirements

  • The speech-to-text transcription will be 100% accurate

  • The Service will be available at all times

  • Any errors or defects will be corrected

11.3 Accuracy Disclaimer

Speech recognition technology is not perfect. Transcription accuracy may vary based on:

  • Audio quality

  • Accent and pronunciation

  • Background noise

  • Technical limitations

You are responsible for reviewing and verifying all transcribed content.

11.4 Third-Party Services

Speechly may integrate with or rely on third-party services (e.g., Stripe). We are not responsible for:

  • The availability or performance of third-party services

  • Changes to third-party terms or policies

  • Actions or omissions of third-party providers

11.5 Assumption of Risk

You acknowledge and agree that you use Speechly at your own risk.

12. Limitation of Liability

12.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPEECHLY SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages

  • Loss of profits, revenue, data, use, or goodwill

  • Service interruptions or unavailability

  • Errors or inaccuracies in transcription

  • Unauthorized access to your data

  • Third-party conduct or content

This limitation applies even if we have been advised of the possibility of such damages.

12.2 Maximum Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED:

  • The amount you paid to Speechly in the 12 months preceding the claim, or

  • €100 (one hundred euros), whichever is greater

12.3 Exceptions

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

12.4 Essential Purpose

You acknowledge that these limitations are a fundamental part of the agreement between you and Speechly, and that we would not provide the Service without these limitations.

13. Indemnification

You agree to indemnify, defend, and hold harmless Speechly and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

  • Your use or misuse of the Service

  • Your violation of these Terms

  • Your violation of any rights of a third party

  • Your violation of any applicable laws or regulations

  • Your User Content

  • Unauthorized access to your account resulting from your failure to safeguard your credentials

We reserve the right to assume exclusive defense and control of any matter subject to indemnification by you, at your expense.

14. Privacy and Data Protection

14.1 Privacy Policy

Your use of Speechly is also governed by our Privacy Policy, available at https://speechly.io/privacy

Please review the Privacy Policy to understand how we collect, use, and protect your personal data.

14.2 GDPR Compliance

We are committed to compliance with the General Data Protection Regulation (GDPR) and other applicable data protection laws.

14.3 Data Processing

By using Speechly, you consent to the processing of your data as described in our Privacy Policy.

14.4 Voice Data

Important: We do not record, store, or transmit the audio content of your voice input. All speech processing occurs locally on your macOS device.

15. Communications

15.1 Electronic Communications

By using Speechly, you consent to receive electronic communications from us, including:

  • Service-related notifications

  • Account updates

  • Policy changes

  • Marketing communications (if you opt in)

These communications may be sent via:

  • Email to the address you provided

  • In-app notifications

  • Website announcements

15.2 Opt-Out

You may opt out of marketing communications at any time by:

  • Clicking the "unsubscribe" link in emails

  • Adjusting your account settings

  • Contacting us at paul@speechly.io

Note: You cannot opt out of service-related communications.

16. Export Control and Sanctions

You represent and warrant that:

  • You are not located in a country subject to a U.S. or EU embargo

  • You are not listed on any government list of prohibited or restricted parties

  • You will comply with all applicable export control laws and regulations

You may not use Speechly if prohibited by export control or sanctions laws.

17. Governing Law and Jurisdiction

17.1 Governing Law

These Terms are governed by and construed in accordance with the laws of France, without regard to its conflict of law provisions.

17.2 Jurisdiction

Any legal action or proceeding arising from or relating to these Terms or the Service shall be brought exclusively in the courts of France.

You consent to the personal jurisdiction of such courts and waive any objection to venue.

17.3 European Union Law

Where applicable, EU law (including the GDPR) applies to the interpretation and enforcement of these Terms.

18. Dispute Resolution

18.1 Informal Resolution

Before filing a legal claim, you agree to contact us at paul@speechly.io to attempt to resolve the dispute informally. We will attempt to resolve the dispute within 30 days.

18.2 Mediation

If informal resolution fails, both parties agree to attempt mediation before pursuing litigation.

18.3 No Class Actions

You agree to resolve disputes with us on an individual basis only. You waive any right to participate in class action lawsuits or class-wide arbitration.

18.4 EU Online Dispute Resolution

For users in the European Union, the European Commission provides an Online Dispute Resolution (ODR) platform, available at: https://ec.europa.eu/consumers/odr

19. Modifications to Terms

19.1 Right to Modify

We reserve the right to modify these Terms at any time. When we do, we will:

  • Update the "Last Updated" date at the top of this page

  • Notify you via email or in-app notification

  • Post the updated Terms on our Website

19.2 Acceptance of Changes

Your continued use of Speechly after changes to the Terms constitutes your acceptance of the modified Terms.

If you do not agree to the modified Terms, you must stop using the Service and terminate your account.

19.3 Material Changes

For material changes that substantially affect your rights, we will provide at least 30 days' notice before the changes take effect.

20. General Provisions

20.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Speechly regarding the Service and supersede all prior agreements and understandings.

20.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect.

20.3 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

20.4 Assignment

You may not assign or transfer these Terms or your rights under these Terms without our prior written consent.

We may assign these Terms to any affiliate or successor without restriction.

20.5 No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights.

20.6 Force Majeure

We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including:

  • Natural disasters

  • War or terrorism

  • Labor disputes

  • Government actions

  • Internet or telecommunications failures

20.7 Interpretation

Headings are for convenience only and do not affect interpretation. "Including" means "including but not limited to."

20.8 Language

These Terms are provided in English. Any translations are provided for convenience only. In case of conflict, the English version prevails.

21. Apple macOS Specific Terms

21.1 Apple Acknowledgement

These Terms are between you and Speechly only, not with Apple Inc. ("Apple").

21.2 License Scope

The license granted to you is limited to a non-transferable license to use Speechly on any macOS device that you own or control.

21.3 Maintenance and Support

Speechly is solely responsible for providing maintenance and support services. Apple has no obligation to provide any support.

21.4 Warranty

Any warranty claims are the sole responsibility of Speechly, not Apple.

21.5 Product Claims

Speechly, not Apple, is responsible for addressing any claims relating to the Software, including:

  • Product liability claims

  • Claims that the Software fails to conform to legal requirements

  • Claims arising under consumer protection laws

21.6 Intellectual Property Claims

In the event of a third-party claim that the Software infringes intellectual property rights, Speechly (not Apple) is responsible for investigation and defense.

21.7 Third-Party Terms

You must comply with applicable third-party terms when using the Software.

21.8 U.S. Government Users

The Software is "Commercial Computer Software" as defined in FAR 2.101.
